Introduction
Responsible for providing support in the provision of company secretarial services Bank Gaborone with legal, compliance and statutory requirements. Assisting the Company Secretary in performing duties in support of the Board of Directors and committees of within the Bank. Coordinate and manage the development, implementation, and reporting of the Bank's sustainability and ESG initiatives
Job description

1.    Administrative Tasks
  • Plans, co-ordinates, prepare, and distribute Board Packs prior to Board and Board Committee meetings across the bank.
  • Prepares agenda for Board, Board Committees and Executive Management Team meetings across the bank.
  • Types minutes and prepare action plans for distribution to members of the meetings, in order to facilitate timely notification of actions and tasks that members of meetings are to execute and provide progress feedback.
  • Attends Executive Management Meetings for the bank, should the need arise and the Company Secretary cannot attend.
  • Undertaking of ad-hoc projects and tasks when required.
  • Prepares and co-ordinates director resolutions sign-off and in liaison with Transfer Secretaries where necessary.
  • Maintains minute books and attendance registers for Board, Board Committees and Executive Management meetings.
  • Maintains the register of directors and shareholders across the CIHB Group of companies.
2.    Reporting & Compliance 
  • Ensure legal and ethical compliance
  • Ensures timely submission monthly Board Reports pertaining to units.
  • Ensures compliance with Regulatory and Company Policy requirements in execution of duties.
3. Sustainability Forum
  • Coordinate the establishment and continued existence of the Sustainability Forum within the Bank
  • Compile sustainability reports from stakeholders
  • Conduct regular assessments of the company's sustainability performance and identify areas for improvement.
  • Prepare sustainability reports for reviewing, adoption and action by the EMT, Capricorn Group Board Social and Ethics Committee and Bank Gaborone Board Risk and Compliance Committee. 
 
4. Sustainability and ESG Market Monitoring
  • Actively monitor relevant sustainability and ESG trends in the financial services industry and offer recommendations to decision-making forums.
  • Stay well-informed about new and existing regulatory requirements related to Sustainable Finance and ESG to provide expert advice and maintain competitiveness.
  • Possess a sound understanding of sustainability and ESG-related financial products and services, as well as knowledge of market areas served.
  • Utilise Sustainability and ESG-related information to anticipate opportunities and identify climate threats for clients and the Group from a transitional and physical risk perspective.
5. Research and Reporting
  • Conduct in-depth research on Sustainability-related initiatives, projects, and other aspects to facilitate informed decision-making.
  • Report on various Sustainability aspects of the business, including Sustainable Finance, Sustainability-oriented Culture initiatives, Sustainability-related Opportunities, and Sustainability & ESG Risk Management.
6. Relationship Building
  • Build Sustainability-related relationships across all hierarchical levels within and outside the Group to develop a credible and relevant network, transfer skills, and access leading-edge non-financial and market information.
7. Product Development
  • Collaborate with key stakeholders in identifying opportunities to improve sustainability-related products and services, and implementation thereof.
  • Sustainability and ESG Awareness
  •  Create and disseminate relevant knowledge about sustainability initiatives, ESG policies, frameworks, and other aspects across various media platforms.
  • Simplify the complex Sustainability and ESG data landscape to facilitate ESG adoption for the Bank.

Minimum requirements

  • Mininum of Bachelor Degree in Law(LLB), Accounting or related qualifications.
  • Minimum of five (5) years working experience of which three (3) was in secretariat functio
  • Training in office routines and etiquette within a Secretariat, Accounting, Legal or Audit environment would be an added advantage
